1. SCOPE OF THESE TERMS; NATURE OF THIS WEBSITE
These Website Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Newly Renovated Inc., a California corporation ("NRI," "we," "us," or "our"), regarding your access to and use of the website located at www.NewlyRenovated.com and all associated subdomains, pages, and content (collectively, the "Site").
The Site is operated by NRI solely as a marketing and informational platform. The Site provides general information about NRI's residential construction and pre-listing renovation services, allows prospective clients to submit inquiry requests, and publishes educational and illustrative content related to residential construction and real estate preparation.
Nothing published on this Site constitutes: (a) a binding offer to perform any construction, renovation, or home improvement services; (b) a professional engineering, architectural, structural, or real estate investment consultation; (c) a site-specific assessment or inspection; or (d) a contractor-client relationship of any kind. All construction and home improvement services provided by NRI are governed exclusively by a separate, written Home Improvement Contract ("HIC") executed between NRI and the property owner, as required by California Business and Professions Code ß 7159.
2. ELIGIBILITY; PROHIBITED USE BY MINORS
This Site is intended solely for use by persons who are at least eighteen (18) years of age. By accessing or using this Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of a business entity, you further represent that you have authority to bind that entity to these Terms.
NRI does not knowingly collect personal information from individuals under the age of 13 in compliance with the Children's Online Privacy Protection Act ("COPPA"), 15 U.S.C. ß 6501 et seq. If NRI becomes aware that it has inadvertently received personal information from a person under 13, it will delete such information from its records. If you believe a minor has submitted personal information through this Site, please contact NRI immediately at Hello@NewlyRenovated.com.
3. CALIFORNIA CONTRACTOR LICENSE DISCLOSURE
Newly Renovated Inc. holds a valid General Building Contractor license (Class B) issued by the California Contractors State License Board ("CSLB"), License No. 1127199. In compliance with California Business and Professions Code ß 7030.5, NRI's license number is disclosed on this Site and in all forms of advertising and solicitation.
NRI carries general liability insurance and the CSLB-required contractor's license bond. Any reference to NRI being "bonded and insured" refers strictly to NRI's general liability insurance policy and the mandatory license bond required by the CSLB. Such bond provides limited statutory protections and does not constitute a consumer warranty or service guarantee beyond those protections required by California law.
Unlicensed contracting is illegal under California law. Users are encouraged to verify NRI's current license status at any time through the CSLB's public license verification system at www.cslb.ca.gov.
4. NATURE OF CONTENT; NO BINDING OFFER; INVITATION TO NEGOTIATE
All content published on this Site, including without limitation project photographs, "before and after" imagery, project descriptions, estimated costs, return-on-investment representations, and renovation timelines, is provided for general illustrative and informational purposes only. Such content is not a representation, warranty, or guarantee of results achievable on any specific property.
Submission of a contact form, inquiry request, "Request a Quote" form, or any other communication through this Site does not: (a) create a binding agreement for services; (b) obligate NRI to perform any work; (c) establish a contractor-client relationship; or (d) constitute an acceptance of any proposed project scope. All such submissions are treated as preliminary inquiries only and are subject to NRI's review, scheduling availability, and execution of a separate written contract.
Cost estimates, project timelines, and ROI projections published on this Site are illustrative generalizations based on historical project data. They do not constitute a binding estimate or proposal for any individual property. Actual costs and timelines are determined through on-site assessment and reflected in a written proposal and, if accepted, a formal Home Improvement Contract.
5. AGENT REFERRAL RELATIONSHIPS; INDEPENDENT CONTRACTORS
NRI's business model includes relationships with licensed California real estate agents and brokers ("Referring Agents") who may recommend NRI's services to their seller clients. The following disclosures apply:
ï Referring Agents are independent licensed professionals and are not employees, agents, or representatives of NRI. NRI does not control the manner or method by which Referring Agents present NRI's services to property owners.
ï NRI's contractual relationship for construction services is exclusively with the property owner, who is the client of record. No agency or fiduciary relationship is created between NRI and any Referring Agent by virtue of a referral.
ï Any referral arrangement between NRI and a Referring Agent is governed by applicable California law, including Business and Professions Code ß 7157. NRI does not pay referral fees to California-licensed real estate agents in exchange for construction referrals except as permitted by applicable law.
ï Property owners are not obligated to use NRI's services on the basis of a Referring Agent's recommendation and are free to solicit competing bids from other licensed contractors.
6. INTELLECTUAL PROPERTY; LIMITED LICENSE TO USERS; USER CONTENT
A. NRI Ownership.
All content on this Site, including but not limited to text, graphics, logos, trademarks, service marks, trade dress, photographs, video, audio, data compilations, software, and the overall design and appearance of the Site (collectively, "Site Content"), is owned by or licensed to NRI and is protected by applicable United States and California intellectual property laws, including copyright law (17 U.S.C. ß 101 et seq.) and trademark law (15 U.S.C. ß 1051 et seq.). The business names "Newly Renovated," "Newly Renovated Inc.," and "NRI," and any associated logos or marks, are proprietary to NRI.
B. Limited License Grant to Users.
Subject to your compliance with these Terms, NRI grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and its content solely for your personal, non-commercial informational purposes. This license does not include the right to: (i) reproduce, distribute, modify, or create derivative works of any Site Content; (ii) display Site Content on any other website or platform; (iii) use Site Content for any commercial purpose; or (iv) remove or alter any copyright, trademark, or other proprietary notices.
C. User-Submitted Content; License Grant to NRI.
When you submit, upload, or transmit any content to NRI through this Site - including without limitation property photographs, project descriptions, inquiry details, or testimonials (collectively, "User Content") - you retain ownership of your User Content. By submitting User Content, you grant NRI a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, display, distribute, and create derivative works of such User Content solely for the purposes of: (i) responding to your inquiry; (ii) performing construction services under a Home Improvement Contract; (iii) improving NRI's services and internal processes; and (iv) with your separate express consent, marketing and promotional purposes such as before-and-after case studies. You represent and warrant that you own or have the necessary rights to submit User Content and that such submission does not infringe any third party's rights.
D. Prohibited Technical Uses.
You may not: (i) use any robot, spider, scraper, crawler, or other automated means to access the Site or extract data therefrom; (ii) frame, deep-link, or inline-link to any portion of the Site without NRI's prior written consent; (iii) use any Site Content for the purpose of training, fine-tuning, or testing any artificial intelligence or machine learning model; (iv) harvest contact information or other user data from the Site; or (v) use the Site in any manner that could damage, disable, or impair the Site's functionality or interfere with any other party's use of the Site. Unauthorized access to or use of NRI's computer systems may constitute a violation of California Penal Code ß 502.
7. ACCEPTABLE USE POLICY
As a condition of your access to and use of this Site, you agree that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. Specifically, you agree that you will not:
ï Submit any false, misleading, or fraudulent information through any inquiry or contact form on this Site;
ï Impersonate any person or entity, or falsely represent your affiliation with any person, entity, or project;
ï Attempt to gain unauthorized access to any portion of the Site or its underlying systems, servers, or databases;
ï Transmit or upload any malicious code, virus, worm, Trojan horse, or other harmful software;
ï Use the Site to engage in or facilitate unlicensed contracting activity in violation of California Business and Professions Code ß 7028;
ï Engage in any conduct that constitutes harassment, defamation, or infringement of any third party's rights; or
ï Use the Site in any manner that violates any applicable federal, state, or local law, regulation, or ordinance.
NRI reserves the right, in its sole discretion, to terminate or restrict your access to the Site for any violation of this Section without prior notice.
8. COMMUNICATIONS CONSENT; CALL RECORDING; SMS AND TEXT MESSAGES
By submitting your telephone number or other contact information through this Site, you consent to be contacted by NRI regarding your project inquiry, including by telephone (including calls using automated or pre-recorded technology where permitted by law), email, and SMS/text message. Standard carrier message and data rates may apply to text messages.
California Call Recording Disclosure: NRI may record telephone calls with prospective and current clients for quality assurance, compliance, and training purposes. In accordance with the California Invasion of Privacy Act, Cal. Penal Code ß 630 et seq. ("CIPA"), which requires all-party consent to record telephone communications, NRI will provide oral or written notice at the commencement of any recorded call and will obtain your consent before proceeding with recording. Your continued participation in a call following such notice constitutes your consent to recording.
Opting Out of Marketing Communications: You may opt out of marketing-related telephone or text communications at any time by: (i) replying STOP to any marketing text message; (ii) clicking the unsubscribe link in any marketing email; or (iii) contacting NRI at Hello@NewlyRenovated.com or (415) 626-8180. Transactional and project-related communications necessary to perform services under an executed Home Improvement Contract are not subject to marketing opt-out.
NRI complies with the Telephone Consumer Protection Act ("TCPA"), 47 U.S.C. ß 227, and California law governing electronic communications. NRI does not send unsolicited bulk commercial text messages.
9. PRIVACY; DATA COLLECTION; CALIFORNIA PRIVACY RIGHTS
A. Privacy Policy.
Your use of this Site is subject to NRI's Privacy Policy, incorporated herein by reference and available at www.NewlyRenovated.com/privacy. In the event of any conflict between these Terms and the Privacy Policy with respect to the handling of personal information, the Privacy Policy shall govern.
B. California Privacy Rights Act.
NRI complies with the California Privacy Rights Act of 2020 ("CPRA"), Cal. Civ. Code ß 1798.100 et seq. California residents have the right to know, delete, correct, and opt out of the sale or sharing of their personal information. To exercise these rights, submit a verifiable consumer request to Hello@NewlyRenovated.com or (415) 626-8180. A dedicated Do Not Sell or Share My Personal Information request form is available at www.NewlyRenovated.com/privacy-request. NRI will respond to verified requests within 45 calendar days.
C. Cookies and Tracking Technologies.
This Site uses cookies and similar tracking technologies. NRI's Cookie Policy, available at www.NewlyRenovated.com/cookies, describes the specific technologies in use, their purposes, and your opt-out rights. NRI honors Global Privacy Control ("GPC") signals as an opt-out of the sharing of personal information consistent with CPRA requirements.
D. No Dark Patterns.
NRI does not use deceptive design elements or manipulative interfaces to subvert user privacy choices. Cookie consent mechanisms are designed with equal prominence for acceptance and rejection options, consistent with CPRA symmetry-in-choice requirements.
10. DIGITAL ACCESSIBILITY; ADA AND UNRUH ACT COMPLIANCE
NRI is committed to ensuring that this Site is accessible to persons with disabilities. NRI is working to bring the Site into conformance with the Web Content Accessibility Guidelines ("WCAG") Version 2.1, Level AA. These efforts are consistent with NRI's obligations under Title III of the Americans with Disabilities Act ("ADA"), 42 U.S.C. ß 12181 et seq., and the California Unruh Civil Rights Act, Cal. Civ. TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, NRI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
NRI does not warrant that: (a) the Site will be available at all times or without interruption; (b) information on the Site is complete, accurate, current, or free from errors; (c) the Site is free from viruses or other harmful components; or (d) any defects in the Site will be corrected. Nothing on this Site constitutes professional advice of any kind. Inclusion of any third-party link does not constitute NRI's endorsement of that third party.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CALIFORNIA LAW, IN NO EVENT SHALL NRI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THIS SITE OR ITS CONTENT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, EVEN IF NRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NRI's total cumulative liability to you for any and all claims arising out of or relating to your use of this informational and marketing website shall not exceed zero dollars ($0.00). This limitation reflects the fact that this Site does not involve the exchange of consideration between NRI and its users. Some jurisdictions do not permit the exclusion of certain warranties or the limitation of certain liabilities; to the extent such laws apply, the limitations in this Section may not apply to you in their entirety.
13. USER INDEMNIFICATION
You agree to defend, indemnify, and hold harmless NRI, its parent, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and contractors (collectively, the "NRI Parties") from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to this Site; (b) your violation of any provision of these Terms; (c) any false or misleading information you submit through the Site; (d) your violation of any third party's rights, including intellectual property rights; or (e) any claim by a third party arising from your conduct in connection with this Site.
NRI reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You agree not to settle any such matter without NRI's prior written consent.
14. DMCA NOTICE AND PROCEDURE FOR COPYRIGHT INFRINGEMENT CLAIMS
If you believe that any content on this Site infringes your copyright, you may submit a written notification to NRI's designated copyright agent in accordance with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. ß 512(c)(3). Your notification must include: (a) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material with sufficient detail to permit NRI to locate it; (d) your contact information; (e) a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner; and (f) a statement of good faith belief that the use is not authorized.

NRI is in the process of registering its DMCA designated agent with the United States Copyright Office as required by 17 U.S.C. ß 512(c)(2). Submitting a knowingly false DMCA takedown notice may expose you to liability under 17 U.S.C. ß 512(f).
15. MODIFICATIONS TO THESE TERMS; ASSIGNMENT
A. Modifications.
NRI reserves the right, in its sole discretion, to modify, amend, or replace these Terms at any time without prior individual notice to users. When NRI modifies these Terms, it will update the Effective Date appearing at the top of this page. Your continued access to or use of this Site following the posting of a revised Effective Date constitutes your acceptance of the modified Terms. If any modification is unacceptable to you, your sole remedy is to discontinue use of this Site.
B. Assignment.
NRI may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of NRI's assets, by operation of law, or otherwise. You may not assign or transfer these Terms or any rights or obligations hereunder without NRI's prior written consent, and any purported assignment in violation of this Section is void.
16. GOVERNING LAW; BINDING ARBITRATION; CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES BINDING INDIVIDUAL ARBITRATION OF MOST DISPUTES AND WAIVES YOUR RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION.
A. Governing Law.
These Terms and any dispute arising out of or relating to your use of this Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
B. Binding Arbitration.
Except as provided in Sections 16(D) and 16(E) below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or NRI's marketing and informational activities ("Dispute") shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules, as in effect at the time the arbitration is commenced. The seat and place of arbitration shall be the City and County of San Francisco, California. One (1) arbitrator shall preside over the proceeding. The Federal Arbitration Act, 9 U.S.C. ß 1 et seq., governs the interpretation and enforcement of this arbitration agreement.
C. Arbitration Fees and Costs.
Filing, administration, and arbitrator fees shall be governed by the AAA's applicable fee schedule. If you demonstrate that the costs of arbitration would be prohibitive as compared to the costs of litigation, NRI will pay such portion of the arbitration filing and hearing fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. Each party shall bear its own attorneys' fees in arbitration unless the arbitrator determines that a claim or defense was frivolous, in which case the arbitrator may award fees to the prevailing party.
D. Exceptions to Arbitration.
Notwithstanding Section 16(B), either party may: (i) bring an individual action in a court of competent jurisdiction for claims that qualify for small claims court under applicable California law; and (ii) seek temporary injunctive, emergency, or other equitable relief in the state or federal courts located in San Francisco, California, to prevent irreparable harm pending the resolution of a dispute in arbitration, including without limitation for claims arising from infringement of NRI's intellectual property rights. Any such court action does not waive the obligation to arbitrate the underlying merits of the dispute.
E. Public Injunctive Relief.
To the extent a claim seeks public injunctive relief (i.e., relief that would benefit the general public and not solely the individual claimant) as defined under California law, consistent with McGill v. Citibank, N.A. (2017) 2 Cal.5th 945, such claim may be brought in the state or federal courts located in San Francisco, California. All other aspects of the Dispute shall proceed in arbitration. The court shall be bound by the arbitrator's findings on any issues subject to arbitration.
F. Class Action Waiver.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND NRI EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that individual party's claim. If a court finds the class action waiver in this Section unenforceable as to a particular claim, that claim shall be severed and litigated in court, and all remaining claims shall proceed in arbitration.
G. Arbitration Confidentiality.
Arbitration proceedings, including filings, hearings, and awards, shall be maintained in confidence to the extent permitted by applicable law, except as necessary to enforce an arbitration award or as required by applicable law or court order.
H. Severability of Arbitration Clause.
If any portion of this Section 16 is found invalid or unenforceable, that portion shall be severed and the remainder of this Section shall be enforced to the fullest extent permitted by law. The class action waiver in Section 16(F) shall not be severable from the arbitration agreement - if the waiver is found unenforceable, the entire arbitration clause shall be void as to that claim.
17. GENERAL PROVISIONS
A. Severability.
If any provision of these Terms (other than as provided in Section 16(H)) is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
B. Waiver.
NRI's failure to enforce any provision of these Terms on any particular occasion shall not constitute a waiver of NRI's right to enforce that provision on any other occasion.
C. Entire Agreement.
These Terms, together with NRI's Privacy Policy (www.NewlyRenovated.com/privacy) and Cookie Policy (www.NewlyRenovated.com/cookies), constitute the entire agreement between you and NRI with respect to your use of this Site and supersede all prior or contemporaneous communications regarding this subject matter.
D. No Agency.
Your use of this Site does not create any employment, partnership, joint venture, franchise, or agency relationship between you and NRI.
E. Survival.
The following Sections survive termination or expiration of these Terms: 6 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (User Indemnification), 16 (Governing Law; Binding Arbitration; Class Action Waiver), and 17 (General Provisions).
